Upon full payment for a project, we may transfer ownership of specific deliverables to you as agreed in a separate contract. You may not:

• Reverse-engineer or decompile software provided by us, except as permitted by law.

6. Payments and Fees

Our Services may require payment as outlined in project agreements or invoices. You agree to:

• Pay all fees in Indian Rupees (INR) as per the agreed terms.
• Provide accurate billing information.
• Cover any applicable taxes, unless otherwise stated.

Late payments may incur interest at 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend Services for non-payment.

7. Confidentiality

Any confidential information shared during the course of our Services (e.g., project details, proprietary data) will be protected. We will not disclose your confidential information to third parties except as required by law or with your consent. You agree to treat any proprietary information provided by EulerHive as confidential.

8. Termination

We may suspend or terminate your access to our Services if you:

• Violate these Terms.
• Fail to make payments as agreed.
• Engage in activities that harm our systems or reputation.

You may stop using our Services at any time. Upon termination, any outstanding fees remain payable, and provisions regarding intellectual property, confidentiality, and liability will survive.

9. Limitation of Liability

To the maximum extent permitted by Indian law, EulerHive shall not be liable for any indirect, incidental, or consequential damages arising from your use of our Services, including loss of profits, data, or business opportunities. Our total liability for any claim shall not exceed the amount paid by you for the specific Service giving rise to the claim.

We do not guarantee that our Services will be uninterrupted, error-free, or secure. You use our Services at your own risk.

10. Indemnity

You agree to indemnify and hold EulerHive harmless from any claims, losses, or damages, including legal fees, arising from your use of our Services, violation of these Terms, or infringement of third-party rights.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these Terms or our Services shall be resolved through negotiation in good faith. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, India.
